Private equity firm Bain Capital is in discussions with the founders of Farmson Pharmaceutical Gujarat, a privately-owned company which is among the top producers of the analgesic Paracetamol drug in the world.

Investment banking firm o3 Capital is advising Farmson’s founders led by Managing Director Samir Patel on the proposed sale, sources told ET NOW. Set up in 1969 by K.K. Vithani, the company operates three drug plants in Gujarat. Farmson is the world’s largest integrated producer of API Paracetamol, according to the firm’s website.

Bain Capital declined comment in reply to an ET NOW email seeking a comment on the matter. Farmson Managing Director Patel didn’t reply to an ET NOW email.

Bain’s proposal to buy Farmson follows a surge in M&A-linked activity in India’s sunrise drug industry, which has attracted the attention of global investors led by PE firms in recent years. Another private equity firm Advent International, in December announced acquisition of a majority equity holding in Suven Pharmaceuticals from the promoters.

Shanghai Fosun Pharmaceuticals is considering a sale of Gland Pharma, according to recent media reports.

Farmson, based in Vadodara, is valued at about $1.2 billion, according to Axis Bank’s Burgundy Private and Hurun India report in December. The firm has 140 employees, the report said.

Farmson has capacity of 45,000 metric tonnes, or about 82 billion tablets a year. The company holds a total domestic market share of 29% and 17% globally for its key drug product API Paracetamol. The firm’s total income was Rs 2,059 crore in the financial year to March, 2022, according to a CARE Ratings note.
